Terms and conditions of use and purchase

These terms govern the use of VrexAI and the purchase of AI Credits. By creating an account or buying credits you accept these terms, together with the Privacy policy and the Cookie policy. If you do not agree, do not use the service.

1. Who we are

VrexAI is a service provided by [RAZÓN SOCIAL], tax ID (NIF) [NIF], with registered address at [DOMICILIO] and registered in [DATOS REGISTRALES] ("VrexAI", "we", "us"). You can contact us at vreexai@gmail.com. More information in the Legal notice.

2. The service

VrexAI is an online platform for generating content with third-party artificial intelligence models, including:

  • Images from text and reference images.
  • Text-to-speech (TTS) with ElevenLabs, MiniMax, Microsoft Edge and Fish Audio voices.
  • Voice cloning (MiniMax) and multi-voice dialogues.
  • Sound effects.
  • Speech-to-text transcription.
  • Music (Suno and MiniMax).
  • Video (coming soon).

Your requests are processed from our servers through a third-party AI API aggregator, which forwards them to the provider of the chosen model. We do not develop those models or control how they work internally. The available models, features and prices may change over time, and some may become temporarily or permanently unavailable.

3. User account

  • You must be at least 18 years old and legally able to enter into contracts.
  • You can sign up with email and password (you will need to verify your email) or with your Google account.
  • The information you provide must be accurate. You are responsible for keeping your password secret and for the activity carried out from your account. Let us know if you detect unauthorised use.
  • You may only have one account per person. Creating multiple accounts to obtain free credits or referral commissions is not allowed.

4. AI Credits

4.1 What they are

AI Credits are the internal unit you use to pay for generations on VrexAI. They are not money, electronic money or a means of payment outside the service. They cannot be exchanged for cash, are not transferable to other accounts or people and do not earn interest.

4.2 Free credits

When you create your account you receive 100 free AI Credits. Free credits have no monetary value, are not refundable and may be withdrawn if obtained abusively (for example, through multiple accounts).

4.3 Buying credits

  • Payments are processed by Stripe. We do not store your card details.
  • The minimum purchase is USD 5, in multiples of USD 5.
  • Each dollar equals 500 credits, plus a volume bonus of 250 credits for every additional USD 5 above the first USD 5. For example: USD 5 = 2,500 credits; USD 10 = 5,250 credits; USD 20 = 10,750 credits.
  • The final price, including applicable taxes, and the number of credits are shown before you pay. Credits are added to your balance as soon as the payment is confirmed.
  • Purchased credits do not expire while your account is active.

4.4 Using credits

  • Before each generation we show you its cost in credits, which is deducted when you submit it.
  • For some audio and music content the cost shown is an estimate based on the length of the text or the type of generation. When the provider reports the real cost on completion, we adjust your balance by the difference, which may be in your favour or not. The adjustment is shown in your transaction history.
  • If a generation fails because of the provider or the system, or is blocked by the provider's moderation filters, the credits are returned to your balance automatically.
  • Credits are not returned for successfully completed generations even if you do not like the result, as the cost arises from using the model.

4.5 Price changes

We may change the price of credits and the credit cost of each generation. Changes do not affect credits you have already bought, which keep their amount, but the rates in force at the time of each generation apply.

5. Right of withdrawal and refunds

5.1 Right of withdrawal

If you are a consumer, the law grants you a 14-calendar-day right of withdrawal for distance contracts. However, AI Credits are digital content supplied immediately. Under article 103.m) of the Spanish Consolidated Text of the General Law for the Protection of Consumers and Users (and Directive 2011/83/EU), you lose the right of withdrawal when, at purchase, you give your express consent for supply to begin immediately and acknowledge that you thereby lose that right.

5.2 Our refund policy for unused credits

Even so, and on a voluntary basis, we will refund a purchase if you request it within 14 days of that purchase and you have not used any of the credits from it. For this purpose, free credits and credits from earlier purchases are considered to be used first.

To request it, write to vreexai@gmail.com from your account email stating the purchase. We will refund the amount paid using the same payment method within 14 days of approving the request, and remove the corresponding credits from your balance.

This does not limit any other rights you have under the law, for example if the service is not provided as agreed.

6. Storage of generated content

  • Generated files and files you upload to generate content are automatically deleted 10 days after creation, together with their history record.
  • VrexAI is not a storage service. Download anything you want to keep before that period ends. We are not responsible for loss of content after that period.
  • Cloned voices are kept until you delete them or close your account.

7. Acceptable use

You are responsible for the prompts, texts, images and audio you submit and for what you do with the results. Using VrexAI to create, upload or distribute the following is prohibited:

  • Illegal content or content that promotes illegal activities.
  • Child sexual abuse material or any content that sexualises minors.
  • Sexual or intimate content depicting real people without their consent.
  • Voice clones or deepfakes of a person without their explicit consent, as well as impersonating any person, company or public body.
  • Misleading content about political or electoral processes, or disinformation that may cause harm, including false statements attributed to real people.
  • Harassment, threats, defamation, or content that incites hatred, violence or discrimination.
  • Fraud, scams (for example calls or messages using impersonated voices), spam or malware.
  • Content that infringes third parties' intellectual property, industrial property, image or privacy rights (for example uploading voices, images or lyrics you have no right to use).

It is also not allowed to try to bypass moderation filters, access the service by unauthorised automated means, resell access, interfere with its security or operation, or use the service against the usage policies of the model providers.

Voice cloning: you may only upload recordings of your own voice or of people who have given you their explicit consent to clone and use it. We may ask you to prove that consent.

AI providers apply their own moderation filters and may block generations. If you breach this section, we may remove content, suspend or close your account, withdraw free credits and void referral commissions, and cooperate with the authorities where appropriate. If the breach is not serious, we will normally warn you first.

8. Transparency about AI-generated content

  • Results are generated by artificial intelligence systems and may contain errors, inaccuracies or unexpected results. Review them before use, especially transcriptions.
  • We do not guarantee that results are unique: other users may obtain similar or identical results.
  • If you publish or distribute AI-generated or manipulated images, audio or video that realistically resemble real people, objects, places or events (deepfakes), you must clearly disclose that the content has been artificially generated or manipulated, in accordance with article 50 of Regulation (EU) 2024/1689 (AI Act) and other applicable law. For evidently artistic, creative, satirical or fictional works, it is enough to disclose this in a way that does not hamper enjoyment of the work.
  • Do not remove watermarks or metadata identifying content as AI-generated where included by the providers or by VrexAI.

9. Content ownership

  • Your inputs (prompts, texts, images and audio you upload) remain yours. You grant us a limited licence to process them and send them to providers solely to provide the service to you.
  • Outputs: as between you and VrexAI, you may use the content you generate for any lawful purpose, including commercial use, subject to applicable law and the terms of the providers of the models used. VrexAI does not claim ownership of your outputs.
  • Bear in mind that, depending on applicable law, AI-generated content may not be protected by copyright, and that some providers' terms may change.
  • We do not guarantee that outputs do not infringe third-party rights (for example if they resemble existing works, trademarks, voices or people). You are responsible for checking this before use, especially for commercial purposes.
  • The VrexAI platform (software, design, brand) belongs to us. You acquire no rights over it beyond using it in accordance with these terms.

10. Referral program

10.1 How it works

  • Each user has a personal referral link in the "Referrals" section.
  • When someone arrives through your link, we store your code in a cookie for 30 days. If they create their account within that period, it is linked to you as a referral.
  • You earn a commission of 25% of the amount paid by your referrals on each credit purchase, while the program is active.
  • Commissions accumulate in your referral balance in US dollars (USD). They are not AI Credits.

10.2 Withdrawals

  • You can request a withdrawal once your balance is at least USD 10. The full available balance is withdrawn.
  • Only one withdrawal request can be pending at a time.
  • Payments are made by PayPal or bank transfer, using the details you provide. We aim to process them within 48 hours and, in any case, within 30 days at most. We are not responsible for failed payments due to incorrect details.
  • We may ask for identification or tax details before paying. You are responsible for declaring and paying taxes on the commissions you receive.

10.3 Conditions and anti-fraud

Commissions will be voided (and, where applicable, deducted from the balance or reclaimed) when:

  • You refer yourself, directly or indirectly (self-referrals), or use fake, duplicate or third-party accounts without their knowledge.
  • The purchase that generated the commission is refunded, cancelled or subject to a chargeback.
  • You promote your link through spam, misleading advertising, impersonating VrexAI or any illegal practice.
  • There is any other reasonable indication of fraud or breach of these terms.

In cases of fraud we may close the referral account. We may change the program conditions (including the percentage) or end it with at least 30 days' notice; commissions already validly earned will be honoured.

11. Service availability

We provide the service "as is" and "as available". We make reasonable efforts to keep it running continuously, but there may be interruptions due to maintenance, technical failures or incidents affecting AI, hosting or payment providers. We do not guarantee that a specific model will always be available or that the service will be error-free.

12. Liability

  • We are not responsible for the content you generate or how you use it, nor for damage arising from your breach of these terms. You agree to hold us harmless from third-party claims caused by your unlawful use of the service or the outputs, to the extent permitted by law.
  • We are not liable for indirect damage, loss of profits or loss of data or content (including content deleted after 10 days), except in cases of wilful misconduct or gross negligence.
  • Except where the law does not allow it to be limited, our total liability to you is limited to the amount you paid us in the 12 months before the event giving rise to it.
  • Nothing above limits our liability for wilful misconduct or gross negligence, for death or personal injury, or the rights granted to you by consumer protection law.

13. Account suspension and closure

  • You can request deletion of your account at any time by writing to vreexai@gmail.com from your account email. Deleting it means losing any remaining credits (without prejudice to section 5) and content. If you have a referral balance of at least USD 10, you can request a withdrawal first.
  • We may suspend or close your account if you breach these terms, if required by law or if there are reasonable indications of fraud. Except in serious cases or where the law prevents it, we will notify you and explain the reason. If we close your account without you having breached these terms, we will refund the proportional part of unused purchased credits.

14. Changes to the terms

We may change these terms for legal, technical or business reasons. We will notify you by email or within the app at least 15 days in advance if the changes are significant. If you do not agree, you can stop using the service and delete your account before they take effect. Continuing to use the service afterwards means you accept them. Changes do not affect purchases already made.

15. Governing law and jurisdiction

These terms are governed by Spanish law. If you are a consumer, you keep the protection granted by the mandatory rules of your country of residence and may bring proceedings before the courts of your place of residence. If you are not a consumer, the parties submit to the courts of the registered address of [RAZÓN SOCIAL].

Before going to court, we encourage you to write to vreexai@gmail.com so we can try to resolve the issue amicably.

16. Other provisions

If any clause is declared void, the rest remain valid. Failure to exercise a right does not mean waiving it. These terms are available in Spanish and English; in case of discrepancy the Spanish version prevails.
